UCC: UNIFORM COMMERCIAL CODE

Karl Nickerson Llewellyn (May 22, 1893 – February 13, 1962) is responsible for most of the work that produced the UCC. The Uniform Commercial Code is a model of laws that Karl toured around the country with trying to get legislators to adopt so that courts could rule on contract law. A contract is a promise or set of promises that can be established by either one of the following; ink and paper, conduct, behavior or lack of behavior.

Karl Llewellyn who was born in Seattle, but grew up in Brooklyn and his Russian wife Soia Mentschikoff drafted the UCC. He highly favored legal realism which has root in natural law which are rights or natural states that come from God. Thomas Aquinas is known for his work in natural law and Karl may have also studied his works. Another person Karl may have learned about is “Immanuel Kant” and he believed that rights and natural states (morals) came from a person’s REASONING or intellect.
